Welcome to PayPerBill. By accessing or using our invoicing platform, you agree to be bound by these Terms of Service. Please read them carefully before using our services.
1 Acceptance of Terms
By creating an account, accessing, or using PayPerBill ("Service," "Platform," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" and "your" will refer to both you individually and the organization.
If you do not agree to these Terms, you must not access or use our Service.
2 Description of Service
PayPerBill is a cloud-based invoicing platform that allows users to:
- Create, customize, and manage professional invoices
- Store and manage client information
- Send invoices to clients via email
- Track invoice status (sent, viewed, paid, overdue)
- Generate PDF versions of invoices
- Process payments through integrated payment providers
- Access invoice templates and customization options
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
3 Account Registration and Security
3.1 Account Creation
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Be at least 18 years old or the age of majority in your jurisdiction
- Not create multiple accounts for fraudulent purposes
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
- Using a strong, unique password (minimum 8 characters with uppercase, lowercase, numbers, and special characters)
We will not be liable for any loss or damage arising from your failure to protect your account credentials.
4 Pricing and Payment
4.1 Flat Fee Model
PayPerBill operates on a pay-per-use model:
- Creating and saving draft invoices is free
- Sending an invoice to a client incurs a flat fee of $0.99 per invoice
- There are no subscription fees, no percentage-based fees, and no hidden charges
- Resending a previously sent invoice does not incur additional charges
4.2 Payment Processing
Payments are processed through Stripe, a third-party payment processor. By using our Service, you also agree to Stripe's Terms of Service.
4.3 Refunds
Due to the nature of our service (digital delivery of invoices), refunds are generally not provided once an invoice has been sent. However, we may consider refunds on a case-by-case basis for:
- Technical failures preventing invoice delivery
- Duplicate charges due to system errors
- Unauthorized charges (subject to investigation)
4.4 Price Changes
We reserve the right to modify our pricing at any time. Any price changes will be communicated to registered users at least 30 days in advance and will not apply retroactively to previously purchased services.
5 Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Send fraudulent, deceptive, or misleading invoices
- Engage in money laundering, tax evasion, or financial fraud
- Harass, abuse, or harm other users or their clients
- Send spam, unsolicited communications, or phishing attempts
- Upload malware, viruses, or other harmful code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the Service or servers
- Reverse engineer, decompile, or attempt to extract source code
- Use automated tools to scrape or collect data without permission
- Impersonate another person or entity
- Use the Service for any illegal goods or services
Violation of this policy may result in immediate account termination without refund.
6 Intellectual Property Rights
6.1 Our Intellectual Property
The Service, including all content, features, functionality, software, designs, text, graphics, logos, and trademarks, is owned by PayPerBill and is protected by copyright, trademark, and other intellectual property laws.
6.2 Your Content
You retain ownership of all content you create using the Service (invoices, client data, business information). By using the Service, you grant us a limited license to store, process, and transmit your content solely for the purpose of providing the Service.
6.3 Feedback
Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to compensate you.
7 Data and Privacy
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

- You can export or delete your data at any time

8 Third-Party Services
The Service integrates with third-party services including:
- Stripe - Payment processing
- Postmark - Email delivery
Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.
9 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- AVAILABILITY, ACCURACY, OR RELIABILITY
We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not guarantee that invoices will be delivered to recipients or that payments will be processed successfully by third-party providers.
10 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- PayPerBill shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability shall not exceed the greater of (a) $100 or (b) the total fees paid by you in the 12 months preceding the claim
- We are not liable for any loss of profits, revenue, data, or business opportunities
- We are not responsible for actions of your clients or third parties
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.
11 Indemnification
You agree to indemnify, defend, and hold harmless PayPerBill, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your invoices, business practices, or dealings with clients
- Any content you submit or transmit through the Service
12 Account Termination
12.1 Termination by You
You may close your account at any time through your account settings or by contacting us. Upon termination:
- You will lose access to the Service immediately
- Your data will be retained for 30 days, then permanently deleted
- No refunds will be provided for unused credits or services
12.2 Termination by Us
We may suspend or terminate your account immediately, without prior notice, if:
- You violate these Terms or our Acceptable Use Policy
- We are required to do so by law
- We discontinue the Service
- Your account has been inactive for more than 12 months
13 Dispute Resolution
13.1 Informal Resolution
Before filing any formal dispute, you agree to contact us at [email protected] to attempt to resolve the dispute informally within 30 days.
13.2 Binding Arbitration
Any dispute not resolved informally shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in [Your Jurisdiction], and the arbitrator's decision shall be final and binding.
13.3 Class Action Waiver
You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.
13.4 Exceptions
Notwithstanding the above, either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.
14 Changes to Terms
We reserve the right to modify these Terms at any time. When we make changes:
- We will update the "Last updated" date at the top of this page
- For material changes, we will notify you via email or in-app notification at least 30 days in advance
- Your continued use of the Service after changes take effect constitutes acceptance of the new Terms
If you do not agree to the modified Terms, you must stop using the Service and close your account before the changes take effect.
15 General Provisions
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
15.2 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and PayPerBill regarding the Service.
15.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
15.4 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
15.5 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
